These Terms of Service ("Terms") govern your access to and use of OctopusGo AI's platform and services (the "Service"), operated by OctopusGo AI, Inc. ("OctopusGo," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

OctopusGo provides an AI-powered internal research platform that enables organizations to:

• Create and manage research questions
• Conduct AI-powered voice interviews with subject matter experts
• Generate interview transcripts and summaries
• Synthesize insights from multiple interviews into comprehensive reports
• Manage expert pools within their organization

3. Account Registration

3.1 Account Creation

To use the Service, you must be invited by your organization's administrator or create an organization account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for business use within organizations.

5.1 Permitted Uses

You may use the Service to:

• Conduct internal research within your organization
• Gather insights from employees and subject matter experts
• Generate reports and synthesis of organizational knowledge
• Manage your organization's expert pool

5.2 Prohibited Uses

You may not use the Service to:

• Violate any applicable laws, regulations, or third-party rights, including privacy and intellectual property rights
• Conduct interviews about topics that are illegal, harassing, defamatory, or harmful
• Attempt to access data belonging to other organizations or users outside your authorized scope
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for competitive analysis or to build a competing product
• Circumvent any security measures or access controls implemented in the Service
• Upload malware, viruses, or any malicious code
• Use automated scripts, bots, or scrapers to access the Service

6. Content and Data

6.1 Your Content

You retain ownership of all content you submit to the Service, including research questions, interview responses, and uploaded materials ("Your Content"). By submitting content, you grant OctopusGo a limited license to process, store, and display Your Content as necessary to provide the Service.

6.2 AI-Generated Content

The Service uses artificial intelligence to generate transcripts, summaries, and synthesis reports. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving AI-generated summaries before they are finalized.

6.3 Data Isolation

All organization data is logically isolated. Each organization's data is accessible only to authorized members of that organization. We implement strict technical controls to prevent cross-organization data access.

6.4 Data Retention

Our data retention policies are detailed in our Privacy Policy. In summary:

• Voice recordings and transcripts: Retained for 90 days, then automatically deleted
• Summaries and synthesis reports: Retained indefinitely as core deliverables of the Service

7. Interview Participation

7.1 Informed Consent

All interview participants must be informed of and consent to the recording, transcription, and AI processing of their responses before beginning an interview.

7.2 Summary Review

Interviewees have the right to review and edit the AI-generated summary of their interview before it is finalized. This ensures accuracy and gives participants control over how their input is represented.

7.3 Anonymization

When insights from interviews are included in synthesis reports, individual identities are protected through anonymization. Cross-pollination of insights between interviews uses anonymized references to protect expert privacy.

7.4 Voluntary Participation

Participation in interviews is voluntary. Interviewees may pause, resume, or end interviews at any time. If an interview is ended early, a partial summary will be generated based on completed portions.

8. Fees and Payment

During the pilot phase, pricing and billing arrangements are determined individually with each organization. Any fees, payment terms, and billing procedures will be specified in a separate agreement with your organization.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including its design, features, functionality, and underlying technology, is owned by OctopusGo and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.

9.2 Your Intellectual Property

You retain all rights to Your Content. We do not claim ownership of interview responses, research questions, or organizational knowledge captured through the Service.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use this feedback for any purpose without compensation or attribution to you.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• System upgrades or updates
• Circumstances beyond our reasonable control
• Technical issues requiring emergency maintenance

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not warrant that the Service will meet your requirements, be error-free, or that AI-generated outputs will be accurate or complete. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCTOPUSGO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless OctopusGo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your Content or data submitted to the Service
• Your violation of any third-party rights

14. Termination

14.1 Termination by You

Organization administrators may request termination of their organization's account and deletion of all associated data through the Data Management settings. A 7-day grace period applies before final deletion.

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to us.

14.3 Effect of Termination

Upon termination, your right to access the Service will immediately cease. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OctopusGo regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
